Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and wEX ("we," "us," or "our"), a decentralized peer-to-peer (P2P) multi-chain aggregator platform operating through the website at wex.finance and associated mobile applications (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.

wEX is an innovative decentralized platform facilitating P2P transactions involving fiat currencies and stablecoins across multiple blockchain networks. It aggregates market offerings, provides a user-friendly interface, and incorporates Proof of SocialFi (PoSFI) for enhanced security and privacy. These Terms govern your use of the Platform and any related services.

1. Definitions

  • Blockchain: A distributed ledger technology used for recording transactions.
  • Cryptocurrency or Digital Assets: Decentralized digital currencies or tokens, including stablecoins like USDT or USDC, tracked on a Blockchain.
  • Escrow: A smart contract mechanism on the Platform's Blockchain where Digital Assets are temporarily frozen during a transaction until conditions are met.
  • Fiat Currency: Government-issued currency, such as USD or EUR.
  • PoSFI (Proof of SocialFi): A reputation system evaluating users based on social profiles and activity on SocialFi platforms (e.g., Ethos, Kaito, Moni scores).
  • P2P Transaction: A direct exchange between Users where one party (Seller) transfers Digital Assets to another (Buyer) in exchange for Fiat Currency or other consideration.
  • User: Any individual or entity accessing or using the Platform.

2. Acceptance of Terms

By registering an account, connecting a wallet, or otherwise using the Platform, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and any additional rules or guidelines posted on the Platform. We may update these Terms at any time, and continued use constitutes acceptance of changes. It is your responsibility to review these Terms periodically.

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction.
  • Not be located in, or a resident of, any jurisdiction where access to the Platform is prohibited by law (e.g., sanctioned territories under OFAC, EU, or UN regulations).
  • Not be a sanctioned individual or entity.
  • Comply with all applicable laws, including anti-money laundering (AML) and know-your-customer (KYC) requirements where applicable.

We reserve the right to restrict access based on geolocation or other factors. You represent and warrant that your use of the Platform does not violate any laws.

4. Description of Services

wEX provides a decentralized P2P aggregator platform where Users can:

  • Create, search, and match buy/sell advertisements (Ads) for Digital Assets.
  • Execute P2P Transactions using Escrow for security.
  • View offers on a map based on geolocation.
  • Link social accounts to build PoSFI reputation scores.
  • Conduct anonymous transactions while displaying reputation scores to counterparties.

The Platform operates globally, supporting multiple Blockchains (e.g., TRC-20, Solana, Base) and exchange methods (cash or bank transfer). Services are non-custodial except during Escrow, where Digital Assets are held on-chain until transaction completion. We do not hold, manage, or control your private keys or funds outside of active trades.

5. User Accounts and Security

  • Registration: You may connect via wallet (e.g., Web3) or social media (e.g., Telegram, X). No mandatory KYC, but PoSFI scoring enhances trust.
  • Security: You are responsible for securing your wallet, private keys, and linked accounts. We are not liable for unauthorized access or losses due to compromised credentials.
  • Anonymity: Users can hide personal information; counterparties see only PoSFI scores and essential transaction details.
  • Ratings and Reviews: Post-transaction feedback is moderated; only qualified Users can leave reviews to prevent abuse.

6. P2P Transactions

  • Creating Ads/Offers: Specify buy/sell, amount, currency, Blockchain, method, premium, and duration. Ads must be "bumped" daily to remain active.
  • Matching and Execution: Use Quick Trade or Custom Offers. Communicate via in-app chat. Seller deposits Digital Assets to Escrow; Buyer sends Fiat; Seller confirms receipt to release funds.
  • One-Side Guarantee: Escrow freezes Digital Assets until Fiat confirmation, reducing fraud risks.
  • Disputes: Use in-app chat for resolution. We may intervene in disputes but are not obligated to; decisions are final.
  • Cancellation: Transactions are irreversible once Escrow releases funds. Cancel only before Escrow deposit.

You acknowledge that P2P Transactions are direct between Users; we are not a party and provide no guarantees on counterparties.

7. PoSFI and Reputation System

PoSFI evaluates Users based on social activity and transaction history. Higher scores reduce fees (0.1%-1%) and unlock perks. Scores incorporate external signals (e.g., Ethos levels) but are not foolproof. You are responsible for verifying counterparties.

8. Fees

  • Platform Fees: 0.1%-1% per transaction side, based on PoSFI tier (e.g., 1% for low scores, 0.1% for elite).
  • Other Revenue: Premium features, API access, anonymized data sales.
  • Fees are deducted automatically; changes may occur with notice.

9. Prohibited Activities

You agree not to:

  • Use the Platform for illegal purposes, including money laundering, fraud, or terrorism financing.
  • Engage in manipulative practices, spam, or abuse of the rating system.
  • Use third-party payment methods or accounts.
  • Advertise unrelated goods/services or share personal data outside in-app chat.
  • Attempt to hack, DDoS, or interfere with the Platform.
  • Violate intellectual property rights or distribute malware.

We may suspend or terminate accounts for violations, without liability.

10. Risks and Disclaimers

Cryptocurrency and Blockchain use involve significant risks, including:

  • Volatility, hacking, 51% attacks, smart contract vulnerabilities, and irreversible transactions.
  • Fraud from counterparties; PoSFI reduces but does not eliminate risks.
  • Regulatory changes; we make no warranties on compliance.
  • Technical issues, interruptions, or losses due to Blockchain forks or network congestion.

Services are provided "AS IS" without warranties of merchantability, fitness, or non-infringement. We disclaim liability for third-party services, linked Blockchains, or User actions.

11. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for indirect, incidental, consequential, or punitive damages (e.g., loss of profits, data, or Digital Assets). Our aggregate liability is limited to the fees paid by you in the last 12 months or $100 USD, whichever is less. This applies even if advised of potential damages.

12. Indemnification

You agree to indemnify and hold us harmless from claims, losses, or expenses arising from your use of the Platform, violations of these Terms, or infringement of third-party rights.

13. Intellectual Property

The Platform, including code, designs, and trademarks, is owned by us or licensors. You are granted a limited, non-exclusive license for personal use. No reproduction or modification without permission.

14. Privacy

We process data per our Privacy Policy, emphasizing anonymity. By using PoSFI, you consent to social data integration for scoring.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of [Cayman Islands / or appropriate jurisdiction for crypto-native]. Disputes shall be resolved through arbitration under [AAA Rules] in [location], or in courts of [jurisdiction]. No class actions.

16. Changes to Terms

We may amend these Terms with notice via the Platform. Continued use constitutes acceptance.

17. Miscellaneous

  • Severability: Invalid provisions do not affect others.
  • No Waiver: Failure to enforce does not waive rights.
  • Entire Agreement: These Terms supersede prior agreements.
  • Force Majeure: No liability for events beyond control (e.g., hacks, regulations).
